PAYMENT TERMS

Initial Payment – 5%
Five percent (5%) of the total contract value shall be payable only after:

Physical verification of the goods by the Buyer or Buyer’s authorized representative at the Seller’s premises, and

Confirmation that the goods fully comply with the agreed specifications and contract terms, and

Issuance of the Proforma Invoice reflecting the verified goods.

Second Payment – 45%
Forty-five percent (45%) of the total contract value shall be payable only against:

Shipped on Board (SOB) / On Board clean Bill of Lading, and

Complete and correct set of shipping documents, and

Independent SGS inspection at the Port of Loading, certifying quality, quantity, packing, and compliance strictly as per contract.
Any discrepancy, shortfall, or non-conformity shall entitle the Buyer to withhold, delay, or proportionately reduce payment.

Final Payment – 50%
The remaining fifty percent (50%) balance shall be payable only after:

Arrival of the goods at the destination port, and

Independent SGS inspection at the Port of Discharge (or SPA, if mutually agreed), confirming exact quality and quantity as per contract, and

Acceptance of the goods by the Buyer.
No final payment shall be due in case of shortage, contamination, damage, or specification deviation until such issues are fully resolved to the Buyer’s satisfaction.

Right to Withhold Payment
The Buyer reserves the unconditional right to withhold, suspend, or adjust any payment in the event of:

Inspection failure

Quantity or quality variance

Documentation discrepancies

Late shipment or contractual breach by the Seller

Inspection Authority
SGS (or equivalent internationally recognized inspection agency appointed by the Buyer) shall be final and binding for quality and quantity determination at both loading and discharge ports.
