This Soft Corporate Offer (SCO) is submitted for the prospective buyer's technical and commercial evaluation, outlining the availability of natural flake graphite concentrate from our East African production source. This SCO is non-binding and intended to support qualification, specification alignment, and commercial discussions prior to contract execution.

• Fixed Carbon (C): 85%–89% (with upgrade pathway to 94%+ subject to processing optimization)

• Ash: ~8%

• Moisture: ~1%

• Sulphur: ~0.36%

• Particle Size Distribution (screen analysis):

 – +30 mesh: ~20%

 – +50 mesh: ~50%

 – +80 mesh: ~30%

Final payable specifications to be determined following the prospective buyer's internal qualification and/or trial results.

4. AVAILABLE QUANTITY

• Initial availability: Up to 4,000 Metric Tons currently stockpiled

• Ongoing production: Scalable monthly supply available subject to qualification and offtake agreement

5. DELIVERY TERMS

• Incoterms® 2020

• FCA Dar es Salaam (preferred)

• FOB Dar es Salaam available upon request

6. PRICE INDICATION (NON-BINDING)

• Indicative range: USD 750–800 per Metric Ton (FCA Dar es Salaam)

• Final pricing to be negotiated based on:

 – Confirmed specifications

 – Flake size distribution

 – Volume commitments

 – Delivery terms

 – Contract duration

7. QUALITY ASSURANCE & INSPECTION

• Independent laboratory analysis available

• Third-party inspection accepted at buyer’s option (SGS, Intertek, Alex Stewart)

• Sampling, inspection, and assay procedures to be mutually agreed

8. QUALIFICATION & NEXT STEPS

• Technical review of specifications and lab results

• Commercial and technical discussion via video call

• Optional site visit prior to contract tender, subject to standard coordination and compliance procedures

• Trial shipment (if required) leading to medium- and long-term offtake discussions

9. CONDITIONS

This SCO is provided on a non-exclusive, non-binding basis and is subject to:

• Successful technical qualification

• Mutual agreement on commercial terms

• Execution of a definitive Sales and Purchase Agreement (SPA)
